TERMS & CONDITIONS (BUYERS)

Governing Law: Province of Ontario and the laws of Canada applicable therein






1. ACCEPTANCE OF TERMS

By accessing, browsing, creating an account, or making a purchase on Rootsy Marketplace Inc. (“Rootsy,” “we,” “our,” or “us”), you (“Buyer,” “you,” or “your”) agree to be legally bound by these Buyer Terms & Conditions (“Terms”).


These Terms incorporate by reference the following policies, which together form a binding agreement:

Refund & Dispute Resolution Policy


Prohibited Products & Conduct Policy


If you do not agree to these Terms or any incorporated policy, you must not use the Rootsy platform.






2. ROLE OF ROOTSY AS A MARKETPLACE

Rootsy is an online marketplace platform that connects independent Canadian sellers with buyers across Canada.


Rootsy operates the website, buyer accounts, checkout system, payment facilitation, logistics coordination, and dispute resolution tools.


Rootsy does not manufacture, own, inspect, store, or ship products.


Rootsy does not act as a seller, reseller, or agent for sellers.


Each purchase represents a direct contract between you and the seller, not between you and Rootsy.






3. BUYER ELIGIBILITY & ACCOUNT RESPONSIBILITIES

To use Rootsy as a buyer, you must be at least 18 years of age and reside in Canada.


You agree to provide accurate, current, and complete account and delivery information.


You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.


Rootsy may suspend or terminate buyer accounts involved in fraud, abuse, or policy violations.






4. PRODUCT LISTINGS & AVAILABILITY

All product descriptions, prices, images, availability, and seller policies are provided by independent sellers.


Rootsy does not verify or guarantee the accuracy, quality, safety, legality, or completeness of listings.


All prices are shown in Canadian Dollars (CAD).


Product availability may change at any time.


If a seller cannot fulfil an order, the buyer will be notified and refunded in accordance with these Terms.






5. ORDERS & PAYMENT

Payment is processed securely through Rootsy’s integrated payment providers.


Orders may be pre-authorized to confirm validity and prevent fraud.


Orders become final once accepted by the seller.


You will receive order confirmation and tracking information once the seller ships the order.


Rootsy reserves the right to cancel or hold orders that appear fraudulent, incomplete, or non-compliant.






6. SHIPPING & DELIVERY

Shipping on Rootsy is coordinated through approved third-party logistics partners and carrier networks.


Shipping costs are calculated at checkout and displayed transparently before payment.


Shipping costs are shared between Buyer, Seller, and Rootsy as displayed at checkout.


Delivery timeframes shown at checkout are estimates only and are not guaranteed.


Rootsy is not liable for delays caused by carriers, weather, labor disruptions, or events beyond reasonable control.


Tracking information is provided once the order ships and is available in your Rootsy account.






7. RETURNS & REFUNDS

Returns and refunds are governed by Rootsy’s Refund & Dispute Resolution Policy.


Buyers generally have 15 days from delivery to request a return, subject to the seller’s return policy.


Returned items must be unused, in original packaging, and returned with proof of purchase.


Certain items may be non-returnable, including perishable goods, custom products, personal care items, hazardous materials, and digital products.


Approved refunds are issued to the original payment method in accordance with payment provider timelines.


Rootsy’s portion of shipping fees is generally non-refundable.






8. DISPUTE RESOLUTION

If a buyer and seller cannot resolve an issue, the dispute may be escalated to Rootsy’s Resolution Centre.


Rootsy will review evidence provided by both parties, including messages, photos, and tracking information.


A final decision is typically issued within 5 to 7 business days.


Rootsy’s decision in escalated disputes is final and binding.






9. BUYER CONDUCT & PROHIBITED ACTIVITIES

You agree not to misuse the Rootsy platform.


This includes attempting to bypass Rootsy’s payment or shipping systems, engaging in fraudulent activity or chargeback abuse, harassing sellers or Rootsy staff, posting false or misleading content, or attempting to purchase prohibited products.


Violations may result in loss of buyer protections, account suspension, or termination.






10. PROHIBITED PRODUCTS

Buyers may not purchase, request, or attempt to obtain products prohibited under Rootsy policies or Canadian law.


This includes, but is not limited to, weapons, firearms, drugs, cannabis, alcohol, tobacco, counterfeit goods, hazardous materials, recalled products, adult or explicit material, and government-issued documents.


Listings violating policy may be removed without notice.






11. INTELLECTUAL PROPERTY

All Rootsy trademarks, logos, designs, and platform content are owned or licensed by Rootsy Marketplace Inc.


You may not reproduce, distribute, or exploit Rootsy content without written permission.


Seller product content remains the property of the respective sellers.






12. DISCLAIMERS

The Rootsy platform is provided on an “as is” and “as available” basis.


Rootsy makes no warranties regarding product quality, seller performance, or uninterrupted platform access.


Any claim relating to a product must be directed to the seller, subject to Rootsy’s dispute process.






13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Rootsy’s total liability to any buyer shall not exceed the value of the order giving rise to the claim.


Rootsy is not liable for indirect, incidental, or consequential damages.






14. INDEMNITY

You agree to indemnify and hold harmless Rootsy, its directors, employees, and service partners from any claims, losses, or damages arising from your misuse of the platform or violation of these Terms.






15. TERMINATION

Rootsy may suspend or terminate buyer accounts for fraud, policy violations, abuse, or chargeback misuse.


Outstanding disputes will continue to be handled under the Refund & Dispute Resolution Policy.






16. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of Ontario, Canada.


Disputes must first be submitted to Rootsy’s Resolution Centre.


Unresolved disputes will proceed to binding arbitration in Ontario, unless prohibited by law.






17. CHANGES TO TERMS

Rootsy may update these Terms at any time.


Continued use of the platform after updates constitutes acceptance.
